Terms of Service for GiftMemories by Astra Soma LLC

These Terms of Service (“Terms”) govern your use of GiftMemories (the “App”), a mobile application provided by Astra Soma LLC (“we,” “us,” or “our”). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

These Terms supplement the Apple Licensed Application End User License Agreement (“Apple EULA”). If these Terms conflict with the Apple EULA, the Apple EULA governs.

1. USE OF THE APP

GiftMemories is a gift-tracking and budgeting app that helps you track gifts you give, receive, and plan. All data you create in the App is stored on your device and, if you choose, in your personal iCloud account.

You must be at least 13 to use the App. If you are under 18, you must have a parent or guardian’s consent.

You agree to use the App only for lawful purposes and in accordance with these Terms.

2. SUBSCRIPTIONS AND PRICING

GiftMemories offers two tiers:

  • Free: Track up to 100 gifts and ideas at no cost. Each gift or idea counts once toward the limit regardless of its state, direction, or number of recipients. Deleting a gift or idea frees a slot.

  • GiftMemories Premium: An annual subscription at US$9.99/year that removes the limit of 100 gifts and ideas, giving you unlimited gifts and ideas. The price in your local currency is shown in the App Store. Payment is charged to your Apple ID at confirmation of purchase.

Family Sharing

GiftMemories Premium supports Apple Family Sharing. One subscription covers you and up to five family members. Each family member keeps their own separate data.

Auto-Renewal

Premium renews automatically at the end of each annual period unless you cancel at least 24 hours before the period ends. Your Apple ID is charged within 24 hours before the end of the current period.

Cancelling

Open Settings › [your name] › Subscriptions on your iPhone. Cancellation takes effect at the end of the current billing period. You keep full access until then.

When Premium Ends

All your data stays readable, editable, and deletable. You can continue to manage everything you already have. You simply cannot add new gifts or ideas beyond the free limit of 100 gifts and ideas until you resubscribe.

Offer Codes

From time to time, Astra Soma LLC may distribute offer codes that provide a discount or a free period of GiftMemories Premium. In GiftMemories, open Settings › Subscription › Redeem Code, or redeem through the App Store.

Price Changes

Apple notifies you in advance of any price increase and may require your agreement before renewing at the new price. If you do not agree, the subscription will not renew at the higher price.

Refunds

All purchases are processed by Apple. To request a refund, visit reportaproblem.apple.com. Astra Soma LLC cannot issue refunds directly.

3. YOUR DATA

You retain full ownership of all content you create in GiftMemories. All data you enter into the app — including gifts, people, occasions, budgets, photos, and notes — is stored on your device. If you enable iCloud sync, your data is also stored in your personal iCloud account. We do not store your data on our servers and can’t see your gifts, people, or occasions. You are solely responsible for maintaining backups of your data. If you delete the App or your device data, your information cannot be recovered by us.

4. CONTACTS ACCESS

When you choose to import people from Contacts and grant access, the App reads your contacts. This access is read-only and is used solely to help you add people to the App. Contact data imported into the App is stored only on your device and in your iCloud account if sync is enabled. It is never transmitted to us or any third party. You can revoke Contacts permission at any time in your iPhone’s Settings.

5. INTELLECTUAL PROPERTY

The App and its original content, features, and functionality are owned by Astra Soma LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the App.

6. DISCLAIMER OF WARRANTIES

The App is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Astra Soma LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your access to or use of, or inability to access or use, the App
  • Any conduct or content of any third party in connection with the App
  • Unauthorized access, use, or alteration of your data stored on your device

In no event shall Astra Soma LLC’s total liability exceed the greater of (a) the amount you paid for a GiftMemories subscription in the 12 months preceding the claim, or (b) fifty dollars ($50).

8. TERMINATION

We may terminate or suspend your access to GiftMemories at any time, without prior notice, for conduct that violates these Terms. Upon termination, your right to use the App ceases immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, and limitations of liability.

9. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

10. PRIVACY

Your use of GiftMemories is also governed by our Privacy Policy, which describes what data the app collects and how it is handled.

11. APPLE APP STORE

The following terms apply when you obtain GiftMemories through the Apple App Store:

  • This agreement is between you and Astra Soma LLC, not Apple. Astra Soma LLC is solely responsible for GiftMemories and its content.
  • Apple has no obligation to provide maintenance or support services for GiftMemories.
  • In the event of any failure of GiftMemories to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). Apple has no other warranty obligation with respect to GiftMemories.
  • Astra Soma LLC, not Apple, is responsible for addressing any claims relating to GiftMemories, including product liability claims, any claim that GiftMemories fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
  • In the event of any third-party claim that GiftMemories or your use of GiftMemories infringes a third party’s intellectual property rights, Astra Soma LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  • You represent and warrant that you are not located in a country subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  • You must comply with applicable third-party terms of agreement when using GiftMemories.
  • Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

12. SEVERABILITY

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

13. CHANGES TO THESE TERMS

We may update these Terms from time to time. The updated version will be indicated by an updated “Last updated” date at the top of these Terms. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms.
